Ayham A. Othman is the Managing Partner of Clout Law Firm, a regional law firm operating across Jordan, the United Arab Emirates and Turkey. In the UAE, the firm operates in association with NHB Legal following the merger of the UAE practice. Ayham is a Jordanian lawyer with more than 18 years of legal experience advising corporations, investors and financial institutions on corporate law, banking and finance matters, commercial transactions and complex civil and commercial disputes.
His practice focuses on corporate and commercial law, banking and financial services, foreign exchange related matters, mergers and acquisitions, cross border transactions, corporate restructuring, insolvency matters and high value commercial litigation. Ayham regularly advises regional corporations, financial institutions and investors on structuring investments, negotiating commercial and financing arrangements, regulatory compliance and resolving complex financial and contractual disputes across the Middle East.
Ayham represents large and mid size corporations across a broad range of sectors including pharmaceuticals, healthcare, manufacturing, distribution, hospitality, media, real estate development and commercial agency. His experience also extends to banking and financial services matters, including advising on banking operations, financial claims, foreign exchange trading disputes, financial services compliance and cross border financial transactions. His work includes advising on corporate structuring, joint ventures, mergers and acquisitions, shareholder arrangements, regulatory compliance and dispute resolution, as well as representing companies and individuals in complex financial disputes involving banks, financial institutions and forex related transactions.
Ayham has also contributed to regulatory and investment policy development in the Hashemite Kingdom of Jordan. He participated in the development of the Investment Window and Development Zones framework and provided the World Bank Group with legal recommendations on the investment regime applicable to development zones and the structuring requirements for companies operating within those zones.
Prior to leading Clout Law Firm, Ayham held senior in house legal roles in the pharmaceutical and healthcare sectors in the United Arab Emirates. He served as Senior Legal Affairs Manager at Gulf Pharmaceutical Industries Julphar PJSC, one of the largest pharmaceutical manufacturers in the Middle East, and as Senior Legal Counsel for the regulatory arm of Dubai Healthcare City Authority where he advised on healthcare regulation, licensing frameworks and commercial operations within the healthcare free zone.
Ayham holds two postgraduate degrees in law from the United Kingdom and is admitted to practice before the Jordanian Bar Association.
